These Terms govern access to and use of CarFlow.jp and its related services (the “Service”). By registering, accessing, or using the Service, you agree to these Terms. If you use the Service for a company or other organization, you confirm that you have authority to bind that organization. The Service is intended for legitimate business and professional use.
CarFlow provides online tools for business administration, including vehicle inventory, invoices, customers, vendors, services, expenses, employees, attendance, salaries, insurance records, reports, company information, and activity logs. CarFlow is a software provider only and is not a party to any transaction entered, recorded, or managed through the Service.
The Service does not provide legal, tax, accounting, financial, employment, insurance, vehicle-inspection, valuation, or regulatory advice. You remain solely responsible for obtaining professional advice and verifying all calculations, records, documents, transactions, taxes, filings, vehicle information, and legal obligations.
You retain responsibility for information uploaded, entered, generated, or stored by you and your users (“Customer Data”). You confirm that you have all rights, notices, consents, and lawful grounds required to collect and use Customer Data, including personal data belonging to customers, employees, vendors, and other third parties.
You are responsible for the accuracy, legality, integrity, and appropriateness of Customer Data and for complying with privacy, employment, tax, accounting, consumer, vehicle, record-retention, and other laws applicable to your business.
The Service must not be used as your only record repository. You are responsible for regularly exporting and maintaining independent, secure, and legally compliant backups of all important Customer Data and business records. You must verify exported records before relying on them.
CarFlow does not guarantee that Customer Data can always be recovered. To the maximum extent permitted by law, CarFlow is not responsible for data loss, corruption, deletion, theft, ransomware, unauthorized access, or failure to restore data caused by user error, compromised credentials, customer devices or networks, third-party systems, internet or hosting failures, malicious actors, force majeure events, or circumstances beyond CarFlow’s reasonable control.
CarFlow uses reasonable administrative and technical measures appropriate to the Service. However, no internet service, transmission method, or storage system is completely secure. CarFlow does not warrant that unauthorized access, theft, malware, attacks, or security incidents will never occur.
You are responsible for securing your devices, networks, email accounts, passwords, user permissions, exported files, and local copies of data. You must not upload unnecessary sensitive information, payment-card data, government credentials, or data you are not legally permitted to process.
You must not use the Service to:
Available features, limits, subscription periods, and prices depend on the selected plan and may change prospectively. Unless otherwise stated, fees are exclusive of applicable taxes and are non-refundable after the relevant service period begins. You are responsible for all taxes, charges, and payment information connected with your account.
The Service may depend on or link to hosting, email, internet, payment, or other third-party services. CarFlow does not control and is not responsible for third-party services, their availability, security, content, acts, omissions, or changes. Your use of them may be governed by separate terms.
CarFlow may maintain, update, modify, suspend, limit, or discontinue any part of the Service. The Service may be unavailable because of maintenance, defects, internet conditions, infrastructure failures, attacks, legal requirements, or events beyond reasonable control. CarFlow does not promise uninterrupted, error-free, or permanently available operation.
CarFlow and its licensors retain all rights in the Service, software, designs, branding, documentation, and related materials. These Terms grant only a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes during an active subscription.
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” CarFlow disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and results.
You are solely responsible for reviewing outputs before using or sending them. CarFlow does not guarantee business results, profits, sales, regulatory compliance, accurate tax or payroll treatment, successful transactions, vehicle condition, customer payment, or the enforceability or legal sufficiency of invoices and other generated documents.
To the maximum extent permitted by law, CarFlow will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, opportunity, goodwill, expected savings, or Customer Data, arising from or related to the Service, even if advised that such loss may occur.
To the maximum extent permitted by law, CarFlow’s aggregate liability for all claims arising from or related to the Service will not exceed the greater of (a) the subscription fees actually paid for the affected organization during the 12 months immediately preceding the event giving rise to the claim or (b) ¥10,000.
These exclusions and limits do not apply where liability cannot legally be excluded or limited, including liability resulting from CarFlow’s intentional misconduct or gross negligence. Your mandatory statutory rights remain unaffected.
To the extent permitted by law, you will defend, indemnify, and hold CarFlow harmless from third-party claims, losses, penalties, and reasonable costs arising from your Customer Data, your transactions, your users, your violation of these Terms or law, or your infringement of another party’s rights.
CarFlow may reject registration or suspend or terminate access for non-payment, security risk, unlawful activity, misuse, material breach, or where required by law. After suspension or termination, access to Customer Data may end and data may be deleted subject to applicable law and any stated retention period. You should export required data before ending service.
CarFlow is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, fire, flood, war, civil disorder, epidemic, labor dispute, utility or telecommunications failure, cloud-provider outage, cyberattack, governmental action, or changes in law.
CarFlow may update these Terms to reflect legal, security, operational, or Service changes. Material changes will be communicated through the Service or another reasonable method. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
These Terms are governed by the laws of Japan, without regard to conflict-of-law rules. To the extent permitted by law, the Gifu District Court will have exclusive jurisdiction as the court of first instance over disputes arising from or related to these Terms or the Service.
If any provision is found unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. You may not transfer your agreement without CarFlow’s prior written consent. These Terms and applicable plan or order details form the agreement concerning your use of the Service.
